Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") are an agreement between you and Caralyst Health, Inc. ("Caralyst," "we," "us"). By accessing or using our websites and matching platform (including caralyst.io, my.caralyst.io, and institution-specific sites such as wustl.caralyst.io — together, the "Services"), you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.
If your access to Caralyst is sponsored by your school, hospital, or employer, the written agreement between Caralyst and that institution governs the institutional relationship; these Terms govern your individual use of the Services.
2. What Caralyst Is (and Isn't)
Caralyst is a discovery and matching platform: we help you find licensed mental health providers who fit your preferences and needs, and we facilitate your request to connect with them.
Caralyst is not a healthcare provider. We do not provide medical or mental health advice, diagnosis, treatment, or therapy. Using Caralyst does not create a provider–patient or therapist–client relationship between you and Caralyst. Any care you receive is provided by the provider you choose, under your direct relationship with them.
Providers are independent. Providers in the Caralyst network are independent licensed professionals — they are not employees or agents of Caralyst. We vet basic credentials and curate the network, and we may remove providers based on feedback, but we do not supervise, direct, or control the care they deliver, and we are not responsible for the services they provide. A match score reflects compatibility with your stated preferences; it is not a clinical recommendation or a guarantee of fit or outcome.
3. Eligibility & Accounts
You must be at least 18 years old to use the Services. Certain features may require an account and, where the Services are institution-sponsored, an affiliation with a participating institution. You agree to:
- Provide accurate, current, and complete information;
- Keep your login credentials secure and not share your account;
- Update your information if it changes; and
- Accept responsibility for activity under your account.
We may suspend or terminate accounts that violate these Terms or that are used for fraudulent, abusive, or illegal activity. You may delete your account at any time (see our Privacy Policy for what happens to your data).
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose;
- Impersonate any person or misrepresent your affiliation;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services or their systems;
- Scrape, harvest, or collect information about other users or providers without consent;
- Post content that is false, misleading, defamatory, harassing, or infringing; or
- Transmit viruses, malware, or other harmful code.
5. Provider Information
Provider profiles are assembled from information supplied by providers, public sources, and user feedback. We work to keep it accurate and current, but we cannot guarantee that every detail (availability, insurance participation, credentials, fees) is complete or up to date. Please verify important details — especially insurance coverage and fees — directly with the provider before beginning care.
6. Your Content
If you submit reviews or feedback, you grant Caralyst a non-exclusive, royalty-free license to use and display that content in connection with operating and improving the Services, and you represent that it is yours to share and doesn't violate anyone else's rights. We may moderate or remove content that violates these Terms.
Your matching questionnaire responses are not "content" we display. They are personal information used only as described in our Privacy Policy — to match you with providers and improve the Services. They are never published or shared with your institution.
7. Intellectual Property
The Services — including our software, matching algorithms, design, text, graphics, and logos — are owned by Caralyst Health, Inc. and protected by intellectual property laws. We grant you a limited, personal, non-transferable license to use the Services as intended. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Services without our written permission.
8. Third-Party Services
The Services may link to third-party websites or services (including provider websites and scheduling tools). We are not responsible for their content, policies, or practices; your use of them is at your own risk and subject to their terms.
9. Disclaimers
The Services are provided "as is" and "as available." To the maximum extent permitted by law, Caralyst disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that a match will meet your expectations, or that any provider will have availability or accept your insurance.
10. Limitation of Liability
To the maximum extent permitted by law: (a) Caralyst will not be liable for indirect, incidental, special, consequential, or punitive damages, or for the acts or omissions of any provider; and (b) Caralyst's total liability for any claim arising out of the Services will not exceed the greater of $100 or the amounts you paid Caralyst in the 12 months before the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless Caralyst Health, Inc. and its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Services.
12. Sponsoring Institutions
Some users access Caralyst through an arrangement between Caralyst and a school, health system, or employer (each, a "Sponsoring Institution"). The Services are provided by Caralyst, not by your Sponsoring Institution. Your Sponsoring Institution does not operate the Services, does not participate in matching, and does not supervise, direct, or control any provider's care.
To the fullest extent permitted by law, you agree that any claim arising out of or relating to the Services or these Terms will be brought solely against Caralyst — not against your Sponsoring Institution — and you release your Sponsoring Institution and its trustees, directors, officers, employees, and agents from any such claims. Sponsoring Institutions are intended third-party beneficiaries of this Section and of Section 13 (Dispute Resolution) and may enforce them. Nothing in this Section limits rights or obligations unrelated to the Services, and nothing in it limits any provider's own responsibility for the care they deliver.
13. Dispute Resolution
If you have a dispute with us, contact legal@caralyst.io first — most issues can be resolved informally within 30 days. If we can't resolve it informally, any dispute arising out of these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, on an individual basis. You and Caralyst each waive the right to a jury trial and to participate in a class action. Either party may instead bring an individual claim in small claims court.
14. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Subject to Section 13, any proceedings will take place in the state or federal courts located in Cook County, Illinois.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms here with a new "Last updated" date and, where appropriate, notify you through the Services. Continued use after changes take effect constitutes acceptance.
16. Severability & Entire Agreement
If any provision of these Terms is found unenforceable, the rest remain in full effect. These Terms, together with the Privacy Policy (and, for sponsored users, your institution's agreement with Caralyst), are the entire agreement between you and Caralyst regarding the Services.
